Terms of Use

1. Who These Terms Apply To

These Terms of Use govern your access to and use of the services provided by Pulse Intelligence Inc. ("Pulse", "we", "our", "us"), a company incorporated in Québec, Canada. They apply to:

• End users — individuals who use the Pulse mobile application to discover real estate opportunities.
• B2B partners — real estate brokers, agencies, proptech platforms, and marketplaces that integrate or access Pulse through a commercial agreement.

If you are accessing the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of the Service

Pulse is a real estate intent intelligence platform that detects when users are near relevant property opportunities and delivers contextual, scored push notifications. The Service includes:

• Real-time geolocation-based opportunity detection.
• Opportunity scoring based on price, proximity, listing freshness, and property type.
• Push notification delivery to end users.
• Analytics and performance dashboards for B2B partners.
• Lead generation and forwarding to licensed real estate professionals.

The Service is currently in an early access / pilot phase. Features may change, be added, or removed without prior notice.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding agreement.
• Not be prohibited from using the Service under applicable law.

By using the Service, you confirm that you meet these requirements.

4. Account Registration

Some features of the Service require you to create an account. You agree to:

• Provide accurate, current, and complete information.
• Keep your login credentials confidential.
• Notify us immediately of any unauthorized use of your account at hello@pulseintelligence.app.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe have been compromised.

5. Geolocation and Notifications

The core functionality of Pulse depends on access to your device's location. By enabling location permissions:

• You consent to the collection and processing of your real-time location to detect nearby property opportunities.
• You understand that alerts are triggered based on a minimum opportunity score threshold and a 12-hour cooldown period.
• You may revoke location permissions at any time through your device settings, which will disable proximity-based alerts.

Push notifications can be disabled through your device notification settings. Disabling them will prevent you from receiving alerts but will not close your account.

6. B2B Partner Terms

If you access Pulse as a commercial partner (broker, agency, marketplace, or proptech), your use is additionally governed by a separate Master Services Agreement (MSA) or Pilot Agreement entered into with Pulse. In the event of a conflict between these Terms and your MSA, the MSA prevails.

As a B2B partner, you agree to:

• Use lead data provided by Pulse exclusively for lawful real estate purposes.
• Not resell, transfer, or share lead data with unauthorized third parties.
• Comply with all applicable real estate regulations in your jurisdiction, including licensing requirements.
• Not use the Service to contact users in a manner that constitutes spam or harassment.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Scrape, reverse-engineer, or attempt to extract source code or data from the platform.
• Transmit harmful, fraudulent, or misleading content.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Violation of this section may result in immediate suspension or termination of your access, without notice or refund.

8. Intellectual Property

All content, software, algorithms, trademarks, and materials made available through the Service are the exclusive property of Pulse Intelligence Inc. or its licensors. Nothing in these Terms grants you any ownership or license to use our intellectual property beyond what is strictly necessary to use the Service as intended.

You may not copy, reproduce, distribute, modify, or create derivative works of any part of the Service without our prior written consent.

9. Disclaimer of Warranties

We strongly recommend consulting a licensed real estate professional before making any property-related decisions.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Pulse Intelligence Inc. and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, goodwill, or business opportunities.
• Damages arising from reliance on opportunity scores, alerts, or property data provided through the Service.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the 3 months preceding the claim, or CAD $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pulse Intelligence Inc. and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right.

12. Third-Party Services

The Service may integrate with or link to third-party platforms (e.g., mapping providers, CRM tools, MLS data sources). Pulse is not responsible for the content, privacy practices, or reliability of any third-party services. Your use of such services is governed by their own terms and policies.

13. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We may also update these Terms from time to time. The "Last updated" date at the top of this page will reflect any changes. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

For material changes, we will make reasonable efforts to notify you by email or in-app notice at least 7 days before the changes take effect.

14. Termination

You may stop using the Service at any time. You may request account deletion by contacting us at hello@pulseintelligence.app.

We may suspend or terminate your access at any time, with or without cause, including if we believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Montréal, Québec, Canada. You waive any objection to venue or jurisdiction in such courts.

16. Language

These Terms are drafted in English. In accordance with the Charter of the French Language (Loi sur la langue officielle), a French version is available upon request at hello@pulseintelligence.app. In case of any conflict between the English and French versions, the English version shall prevail, to the extent permitted by law.
